Service Attachment for Project Services

Effective October 1st, 2025. This Service Attachment for Project Services supersedes and replaces all prior versions.

This Service Attachment for Project Services (the “Agreement”) between Provider and Client found on the applicable Order and, together with the Order, Master Services Agreement, and other relevant Service Attachments, forms the Agreement between the parties the terms to which the parties agree to be bound.

The parties agree as follows:

WORK PERFORMED

Provider has been engaged by Client to procure hardware, software or other equipment or supplies (“Parts”) and/or perform the work identified on the Quote (collectively “Project”).

DEPOSIT

Prior to the commencement of any such procurement activities, we must receive no less than fifty percent (50%) of the total amounts owed for such Parts.

MATERIALS PROCUREMENT

We will procure the Parts specified above, and we will bill you at the rates specified for those items.

MATERIALS WARRANTY

We will work with you to ensure that you receive any warranty benefits available through the manufacturers of any Parts that we procure for you under this Service Attachment.

HOWEVER, WE MAKE NO INDEPENDENT WARRANTIES OF ANY KIND WITH REGARD TO THE CONDITION OR PERFORMANCE OF ANY PARTS YOU HAVE ORDERED, AND WE EXPRESSLY DISCLAIM ALL SUCH WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ALL WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

SCHEDULING

Project will be scheduled once all Parts have been received (“Start Date”). Projects Start Dates are typically two to three weeks post receipt of all Parts.

CLIENT RESOURCES

Prior to the Start Date, Client will designate a qualified member of its staff to act as a project manager (“Client Project Manager”) and liaison between Client and Provider. Client Project Manager will establish priorities, coordinate Client resource schedules, review progress, and assist in issue resolution. Provider will address all communication to the Client Project Manager and is entitled to rely upon Client Project Manager’s representations and authority without seeking further verification. Client agrees that the Client Project Manager has authority to act on behalf of Client in all aspects of the Project.

Client will provide adequate staff, dedicated to this Project and available to Provider, to complete in a timely manager such tasks as may be assigned to it, including without limitation any training, requirements definition, testing, review and approval.

POST-PROJECT TROUBLESHOOTING

Provider will provide troubleshooting of any issues for up to 30 days after completion of Project.
